OWM means the Burlington County Office of Waste Management, its successors and assigns.

• Upon Executive’s termination of Employment for any of the reason cited above, then and in such event, Executive shall automatically cease to be an officer and/or director of the Company and OWM Public and their Affiliates as of his Termination Date of employment.

• However, EZJR agrees to assume the following liabilities of OWM and LEF: 1) estimated unpaid payroll taxes of $6,675 plus estimated late fees of $1,033; 2) remaining Administrative fees and other fees owed under an Assurance of Voluntary Compliance pursuant to the Fair Business Practice Act with the State of Georgia of approximately $10,000; 3) refund of $1,500 due California customer; and 4) and the $25,000 Note plus interest owed to ▇▇▇▇ ▇▇▇▇▇.

• OWM shall send an invoice for any such costs and expenses, and TVP shall pay such amounts within fifteen (15) days of the date of the invoice.

• TVP acknowledges and agrees that it shall be solely responsible for any and all costs, expenses, and compensation related to its own Personnel’s participation in the training or utilization of technical support provided by OWM, including but not limited to salaries, benefits, travel, accommodations, and any other expenses incurred by TVP or its Personnel in connection therewith.

• TVP shall reimburse OWM for all reasonable expenses incurred by OWM in connection with the preparation, filing, prosecution, registration, and/or maintenance of such rights in and to the Licensed Intellectual Property after the Effective Date.

More Definitions of OWM

OWM s Intellectual Property” means all Intellectual Property owned by or licensed to OWM, including all Foreground Intellectual Property and any of OWM’s Background Intellectual Property relating to the Licensed Intellectual Property.

OWM s Knowledge” means the actual knowledge or understanding of the facts and information in the possession of OWM’S officers as of the Effective Date, but without any duty to conduct any investigation with respect to such facts and information.

OWM has the meaning set forth in the preamble to this Agreement.
