Overhead Support definition
Overhead Support means services provided by headquarters to support company functions including but not limited to account management, business development, corporate communications, engineering services, executive services, financial reporting, audit, insurance, graphic and design, legal, information systems, and internet technology.
Overhead Support means the provision, whether at the Plant site or elsewhere, or both, of all administrative, supervisory (exclusive of the General Managers) and overhead support services as identified in Paragraph 2 of Exhibit A hereto, together with the provision of attendant equipment, materials, furnishings and supplies that are necessary in the exercise of good manufacturing or business practices to operate the Plant for the conduct of the business of the Partnership and the manufacture of Products as hereinafter provided. The scope of services listed in Paragraph 2 of Exhibit A shall be conclusively determined by the Management Committee.

The direct and indirect costs, which TC Global shall charge to Affiliate hereunder, shall include the portion of salaries, fringe benefits, rent, utilities, equipment, supplies and other overhead expenses attributable to the provision of Overhead Support Services to Affiliates.
