Overhead Services is defined in Section 4.22(a).

Overhead Services means overhead and administrative services, including the following: services for or related to purchasing and supply procurement, computer leasing and servicing, banking arrangements and services, insurance services, legal services, tax services, environmental, health and safety services, business practices, financial accounting services, payroll and employee benefits.

Examples of Overhead Services in a sentence

• An additional adjustment, positive or negative, to the prospective cost per unit for Business Overhead Services or per annum for Corporate Overhead Services determined by either the Triennial Study or the two succeeding years may be negotiated between the parties.

• The Business Overhead Services and Corporate Overhead Services shall include such other comparable and/or successor Services implemented or maintained from time to time by GNA and its Subsidiaries and Affiliates.

• For the purpose of allocating costs of providing the Corporate Overhead Services, the historical costs of such services shall be allocated equally to each of the lines of business specified above.

• At the time of the Triennial Study, historical costs (to include costs for those services identified as Business Overhead Services and Corporate Overhead Services in Schedule A and any changes thereto pursuant to Schedule A) will be determined for the Annual Expense Reimbursement Factors identified above.

• The costs for Corporate Overhead Services shall be allocated equally to each of the lines of business specified above.

• The Company shall administer the Travelers Reinsurance Agreement and provide policyholder and claims servicing and such Business Overhead Services with respect to the Reinsured Policies in good faith and with the care, skill, prudence and diligence of a person experienced in administering long term care insurance business.

• GNA will provide, as a subcontractor, the Business Overhead Services, which will include, without limitation, the services described below.

• The Company and, by accepting this Warrant, the Holder each hereby irrevocably waives personal service of process and consents to process being served in any such suit, action or proceeding by mailing a copy thereof via registered or certified mail or overnight delivery (with evidence of delivery) to it at the address in effect for notices to it under this Warrant and agrees that such service shall constitute good and sufficient service of process and notice thereof.

• During the Term, the Company appoints, and the Company shall cause its Affiliates to appoint, First American as agent to provide the Company and/or its Affiliates with the Business Services and the Overhead Services, and First American hereby accepts such appointment, on the terms and subject to the conditions set forth herein.

• At the time of the Triennial Study, historical costs (to include costs (excluding costs identified as “Allocated Loss Adjustment Expenses”) directly related to maintaining and administering policies, processing claims and reporting results, including, without limitation, for Business Overhead Services set forth on Schedule E-1 hereto) will be determined for the Policy Maintenance Factor, the Claims Factor and the Travelers Agreement Maintenance Factor identified above.

Overhead Services has the meaning set forth in Section 10.1 hereof.

Overhead Services means corporate services provided to or in support of the Transferred Business that are general corporate or other overhead services including legal and risk management services, treasury services, public relations, enterprise-level licenses of software, real estate, energy/utilities services, procurement and supply arrangements, accounting services, tax services, financial and accounting services, internal audit services, human resources, billing, e-mail services, website services, employee relations management services, employee benefits services, property management services, environmental support services and customs and excise services, in each case including services relating to the provision of access to information, operating and reporting systems and databases. Overhead Services shall not include any item in the previous sentence that is (a) exclusive to the Transferred Business, rather than shared with any other line of business or the general corporate operations of Seller, or (b) provided solely by or using Transferred Employees and Transferred Assets.

Overhead Services shall have the meaning set forth in Section 9.01.
