Overestimate Amount definition
Overestimate Amount shall have the meaning as set forth in Section ------------------- 3.09(d)(iv) of this Note Purchase Agreement.

The Buyer shall cause the Disbursement Agent to promptly wire such Overestimate Amount directly to the Buyer as a prepayment of the Transaction made on such Purchase Date.
Upon any such termination of this Agreement, the full amount of the Escrow Fund, including any accrued Interest, shall be distributed in equal distribution to BHC and Cerus.
During the period the Overestimate Amount is outstanding it shall be subject to interest at the Spread Fee Rate in accordance with Section 2.03(d)(vi) below.
