Overallocation definition

Overallocation has the meaning set forth in Section 9.05(d)(ii)(B) of -------------- the Master Separation Agreement.

  • For the avoidance of doubt, neither the Company nor any Greenshoe Shareholder shall be liable to bear, or to indemnify any party for, any Transfer Duty which arises on any transfer, or agreement to transfer, any Over-allocated Shares pursuant to the Over-allocation if and to the extent that the aggregate number of Over-allocated Shares exceeds the Maximum Greenshoe Number.
