Section 5.7 of the Charter contains a limitation on the ownership of Shares, which prohibits any Person from Beneficially Owning or Constructively Owning more than 9.8% in value of the aggregate of the outstanding Shares (the “Overall Limit”) and not more than 9.8% (in value or in number of shares, whichever is more restrictive) of any class or series of Shares (the “Series Limit,” and collectively with the Overall Limit, the “Aggregate Share Ownership Limit”), except as otherwise waived by the Company.

No. 2 of the Schedule I respectively between the Borrower and the Bank, as amended, amended and restated, modified or supplemented from time to time and shall include the sanction letters subsequently issued for various Facility Products to be granted by the Bank, within the Overall Limit and duly acknowledged by the Borrower.
All such Facilities from time to time with all applicable Individual Facility Limits and the Overall Limit, shall be governed by this Agreement, without any further deed, act or writing.
