Outstanding Warrant Number definition
Outstanding Warrant Number shall be equal to (A) 200,000 shares of DTHK Common Stock, multiplied by (B) the quotient obtained by dividing (i) the number of shares of Company Common Stock issuable upon exercise of Out-of-the-Money Warrants which remain outstanding at the Effective Time by (ii) the number of shares of Company Common Stock issuable upon exercise of Out-of-the-Money Warrants which are outstanding at the date of this Agreement.
Outstanding Warrant Number means such number being the 9,600,000 Company Ordinary Shares the subject of a warrant issued by the Company to B▇▇▇▇▇▇ ▇▇▇▇▇▇▇ expiring on 31 December 2022, (such warrant to be exchanged for an equivalent warrant over Cayman Newco Shares) as such number is to be adjusted in consequence of the Reorgansiation to ensure that the number represents the same proportion of the fully diluted Equity Securities of Cayman Newco after the Pre-Closing Reorganization as it did of the Company immediately before such Pre-Closing Reorganization;
