Outsource Team definition

Outsource Team means a team of personnel provided by delaPlex, either directly or through an Affiliated Company or other subcontractor, to assist the Customer with the development, testing, or implementation of certain project(s) of the Customer.

Examples of Outsource Team in a sentence

  • If at any time the Customer shall become aware of any deficiency in the skills or performance of any Outsource Team member, the Customer shall immediately report such deficiency to delaPlex in sufficient detail to allow delaPlex to take any necessary corrective action.

  • Unless otherwise specified in the Agreement, each member of an Outsource Team will be assigned to work exclusively on the Customer’s Project.

  • For purposes of this Section 2.3, “cause” means any act or omission by an Outsource Team member in breach of the Agreement or the Confidentiality Agreement.

  • The monthly compensation rates specified in the Agreement for each Outsource Team Member are for a standard work-month of 160 hours.

  • All work performed by members of the Outsource Team shall be performed subject to the direction and control of the Customer.

  • Unless otherwise specified in the Agreement, Customer shall also have the right to require any member of an Outsource Team to be removed and replaced with or without cause – immediately, if the removal is for cause, or if without cause, upon at least thirty (30) days prior written notice to delaPlex.

  • Additional hours of work by any Outsource Team member in excess of 160 hours per month shall be at the sole discretion of delaPlex.

  • Notwithstanding the foregoing, delaPlex may on a temporary basis, without the Customer’s prior approval, assign additional personnel to the Outsource Team in cases of the absence of one or more regular members of the Outsource Team due to scheduled vacation, illness or personal emergency.

  • To the extent that moral rights or any other intellectual property rights in any work arising from or created, produced or developed by any member of the Outsource Team (whether alone or jointly with others) under or in the course of this Agreement cannot be assigned under applicable law, delaPlex hereby waives, to the maximum extent permitted by law, such rights and interests and consents to any action of Customer related to such Work Product.

  • Unless otherwise specified in the Agreement, each Outsource Team will cumulatively, on a monthly basis, devote to the Project at least an average of forty (40) hours per week times the number of Outsource Team Members.
