Outside Entity Director means any Insured Person who did or does, or during the Policy Period begins to serve, at the specific request or direction of a Company, as a director or officer, trustee (except a pension trustee), governor or equivalent of an Outside Entity including any Outside Entity Juristic Person Director and its natural person representative.
Outside Entity Director means any Director who at the specific request of the Company becomes a Director or Officer or member of any management board or committee of an Outside Entity.
Outside Entity Director means a natural person who did, does or during the Period of Insurance begins to serve as a director, officer, or trustee or in an equivalent executive position, including as a de facto or shadow director, for an Outside Entity at the Insured Organisation’s specific request or as part of the duties regularly assigned to the Insured Person by the Insured Organisation.

If any Claim made against an Outside Entity Director is insured under any other policy issued by the Insurer, its parent, a subsidiary or affiliate, then payment under such policy on account of a Claim also covered under this policy, shall reduce by the amount of the payment, the Insurer’s Limit of Liability under this policy with respect to such Claim.
Such retentions include all Costs and Expenses and are to be borne by the Director, Outside Entity Director or the Company (as the case may be) and are not to be insured.
