The parties agree that Section 2.306 of the Texas Business and Commerce Code, or any provision of any law with similar provisions (collectively, "Output Contract Laws"), is inapplicable to this Agreement and the transactions hereby contemplated.
To the extent that any Output Contract Laws are held to apply to this Agreement and the transactions hereby contemplated, the parties hereby WAIVE AND RELINQUISH any defenses to the enforcement of this Agreement arising from such Output Contract Laws, and any claims that may be asserted by either party arising from such Output Contract Laws.
Seller’s invoice will show all billing parameters, Entire Exchange Resource Output Contract Rates, Environmental Attributes Contract Rates, and any other data reasonably pertinent to the calculation of Monthly Payments due to Seller.
The Entire Exchange Resource Output Contract Rate and the Environmental Attributes Contract Rate each shall be as provided in Exhibit B.

For avoidance of doubt, the Entire Exchange Resource Output Contract Rate in Exhibit B shows pricing by calendar year with Commercial Operation Dates through 2011.
Beginning on the Commercial Operation Date, Seller shall generate from the Exchange Resource, deliver to the Point of Delivery, and sell to Purchaser, and Purchaser shall purchase, at the applicable rates set forth in Article 5 ("Entire Exchange Resource Output Contract Rate"), all of the Entire Exchange Resource Output.
To the extent that Section 2.306 of the Texas Business and Commerce Code, or any provision of any other law with similar provisions (collectively, "Output Contract Laws") are held to apply to this Agreement and the transactions hereby contemplated, the Parties agree that, so long as the Contract Quantity does not exceed the Required Volumes, such Contract Quantity shall not be deemed unreasonably disproportionate to any stated estimate or to any normal or otherwise comparable prior requirements of CPC.
A similar contract with a Qualified User is not an Output Contract.
Seller shall notify Buyer and providing Buyer with an opportunity to attend any Revenue Meter calibration or tests conducted by Seller or by Idaho Power or others, and to review results of meter readings that may be furnished by Idaho Power or others to Seller, subject to the confidentiality provisions or requirements for consent of Idaho Power or others, if any, applicable under the IPC Contract or any Full Output Contract as the case may be.
