It is understood and agreed that all such landscaping and furnishings installed on the Outdoor Seating Area shall be at the sole cost and expense of Tenant.
All landscaping and furnishings, and any change, replacements or additions thereto, located or used on or affixed to the Outdoor Seating Area shall be subject to Landlord's prior written approval in each instance, which approval shall not be unreasonably withheld so long as such improvements are not inconsistent with a first-class "white tablecloth" restaurant operation or with the first-class nature of the Building.
In no event shall the square footage of the Outdoor Seating Area be included in the square footage of the Premises for purposes of calculating Base Rent, Additional Rent or any other sums due hereunder.
It further is understood and agreed that Tenant shall clean and maintain the Outdoor Seating Area on a daily basis.
All provisions of this Lease governing Tenant's obligations with respect to the Premises and Tenant's use and occupancy thereof shall apply to the Outdoor Seating Area unless such provision shall be specifically excluded or alternative provisions applicable to only the Premises or the Outdoor Seating Area, shall be included.
In the event the Outdoor Seating Area is not cleaned and maintained in a manner consistent with a first-class office building, Landlord shall have the right to terminate immediately Tenant's license to use the Outdoor Seating Area in addition to all other rights and remedies available to Landlord hereunder.
Landlord shall cooperate with Tenant, at no cost or expense to Landlord, in connection with any filings or governmental approvals required for the use of the Outdoor Seating Area and obtaining a liquor license for the Premises.
Landlord shall have no obligation to make any repairs or other improvements to the Outdoor Seating Area and Tenant shall maintain the same, at Tenant’s sole cost and expense, in good repair and condition during the Term as though the same were part of the Premises.
City and Owner will develop a recordable covenant related to the Retail/Display and Outdoor Seating Area to ensure it is open to the public for reasonable hours, but taking into account the needs of future retail tenants (to construct, host events, maintain, change hours, etc.).
On or before November 1 of each calendar year, Tenant shall, at Tenant's sole cost, remove all furniture from the Outdoor Seating Area and store such items outside of the Building.
