Other Program has the meaning set forth in Section 7.8(c).
Other Program means any lease financing program (and not any Program) to support sales of Equipment by any Person (other than Danka or its Affiliates) that may have been entered into by GE Capital and/or any of its Affiliates, on the one hand, and such Person, on the other hand, that such Person and GE Capital may have reduced to a signed writing at any time prior to a Qualifying Change in Control of Danka involving such Person (and where, by way of such Qualifying Change in Control of Danka, such Person (whether acting alone or with any Group of Persons) (x) becomes the "beneficial owner" (within the meaning of Rule 13d-3 under the United States Securities Exchange Act of 1934, as amended) of securities of Danka representing more than fifty percent (50%) of the combined voting power of the then outstanding securities of Danka ordinarily having the right to vote in the election of directors thereof or (y) shall have entered into an agreement with Danka with respect to an acquisition of a substantial part of the direct or indirect assets of Danka."
Other Program means any online graduate program enabled by 2U in fields other than in the field of the Alternative Program.

  • BPM will not be deemed in breach of Section 2.5.1 and Section 2.5.2 with respect to such BPM Other Program so long as BPM complies with the terms of Section 2.5.1 and Section 2.5.2 and provided that such BPM Other Program is conducted independently of BPM’s activities under this Agreement and without any use of any Roche Know-How, Roche Patent Rights or Roche Confidential Information or material use (other than the retained rights above) of the Collaboration Compounds.

  • In the event of any inconsistency between this Agreement and any other plan, program, practice or agreement in which you are a participant or a party, as in effect from time to time (collectively, “Other Programs”), this Agreement will control, unless any applicable such Other Program either is more favorable to you or you agree in writing that such Other Program controls.

  • Implementer shall support PG&E’s development of the annual Joint Cooperation Memo defining how the program will coordinate with the Program Administrators listed in Section 3.6 (Program Coordination with Other Program Administrators).
