Other Material Indebtedness means Indebtedness other than Indebtedness under the Restructuring Documents (whether evidenced by any mortgage, indenture or other agreement relating thereto) of the Issuer or any Note Guarantor with an outstanding principal amount in excess of $10,000,000 (or its equivalent in any other applicable currency), individually or together with other Indebtedness of the Issuer or any Note Guarantor as to which an event of default or acceleration condition exists.
