Other Distribution definition

Other Distribution has the meaning ascribed thereto in Section 2.2.
Other Distribution means a Dividend Payment made with respect to the ------------------ capital stock of the Company except to the extent that the Company determines, reasonably and in good faith, that such Dividend Payment (1) is made to fund one or more of the items described in the definition of "Specified Payments" in this Section 1.01 or (2) is made out of the then- available amount of Cumulative Adjusted Net Income.
Other Distribution means a distribution (by dividend or otherwise) of the Subject Shares by Datek in respect of its capital stock or securities exerciseable therefor to its stockholders and optionholders that is not a Pro Rata Securityholder Distribution.
