The Supplier will work with the Customer and/or Other Contracting Authorities as appropriate to establish and maintain an effective and beneficial working relationship and to ensure that this Call Off Contract(s) is being delivered to at least the minimum required standard as specified in Schedule 2 (Services, Performance Management and Contract Management).
Either Party shall notify the other Party of any Complaints made by Other Contracting Authorities, which are not resolved by operation of the Supplier's usual complaints handling procedure within five (5) Working Days of becoming aware of that Complaint and, if the Supplier is the Party providing the notice, such notice shall contain full details of the Supplier's plans to resolve such Complaint.
The Supplier shall take appropriate steps to ensure that neither the Supplier nor the Supplier Personnel are placed in a position where (in the reasonable opinion of the Authority) there is or may be an actual conflict, or a potential conflict, between the pecuniary or personal interests of the Supplier or the Supplier Personnel and the duties owed to the Authority and Other Contracting Authorities under the provisions of this Framework Agreement or any Call Off Agreement.
The Authority hereby appoints the Supplier as a potential provider of the Services and the Supplier shall be eligible to be considered for the award of Call Off Agreements by the Authority and Other Contracting Authorities during the Framework Period.
The Supplier shall undertake marketing of this Framework Agreement and the Services on behalf of the Authority to Other Contracting Authorities in accordance with the provisions of Framework Schedule 11 (Marketing).
The Authority hereby admits the Supplier to the Dynamic Purchasing System as a potential provider of the Goods and/or Services and the Supplier shall be eligible to be considered for the award of Contracts by the Authority and Other Contracting Authorities during the Dynamic Purchasing System Period.
The Supplier shall undertake marketing of this Dynamic Purchasing System Agreement and the Goods and/or Services on behalf of the Authority to Other Contracting Authorities in accordance with the provisions of DPS Schedule 11 (Marketing).
