  • Where acceptance tests are applicable to the provision of Services, OSG Cloud shall carry out acceptance tests on the Services and where applicable and requested by OSG Cloud, the Customer will also test prior to ‘go live’ of the Services.

  • It would be expected that the Customer will have maintenance Agreements with their Third-Party suppliers to cover their areas of responsibility however where OSG Cloud are required to actively undertake work relating to the Third-Party responsible issues, this will be deemed and chargeable as New Work.

  • This Agreement may be terminated if:  an examiner or a receiver is appointed over any property or assets of the Customer or OSG Cloud; or either party to this Agreement makes any voluntary arrangement with its creditors, or either party goes into liquidation save for purposes of reconstruction or amalgamation; or  either party to the Agreement is directed by any applicable government or competent governmental or regulatory authority to cease to provide or allow the provision of the Services.

  • On termination OSG Cloud will provide all relevant data in format agreed by both parties and will securely delete unrequired data on request, without charge.

  • If any part of the Services fails the acceptance tests, OSG Cloud shall use commercially reasonable endeavours to remedy the defects or deficiencies and will repeat the relevant tests within a reasonable time.

  • OSG Cloud agrees to ensure an orderly and timely provision of services to assist the transition from the OSG Cloud software to an alternative service regardless of who the supplier is.
