Originator Documents definition

Originator Documents means this Agreement, the Control Agreement, the Deposit Account Notification Agreement (Government Healthcare Receivables) and all other certificates, instruments, UCC financing statements, reports, notices, agreements and documents executed or delivered under or in connection with this Agreement, in each case as the same may be amended, supplemented or otherwise modified from time to time in accordance with this Agreement.
Originator Documents shall have the meaning assigned to such term in Section 7.03(b)(iii) (or corresponding Section) of the Origination Agreements. “Originator/Contributor Indemnification Event” shall have the meaning assigned to such term in Section 2.06(b) (or corresponding Section) of the Origination Agreements. “Originator/Contributor Indemnification Payment” shall have the meaning assigned to such term in Section 2.06(b) (or corresponding Section) of the Origination Agreements. “Originator/Contributor Indemnified Liabilities” shall have the meaning assigned to such term in Section 8.02 (or corresponding Section) of the Origination Agreement.
Originator Documents shall have the meaning assigned to such term in subsection 7.03(b)(iii) of the Origination Agreements.

  • No Originator may assign its rights and obligations or any interest herein or delegate any of its duties hereunder or under the other Originator Documents, in each case, without the prior written consent of the Buyer.
