Additional Filing Date means the date on which the Additional Registration Statement is filed with the SEC.
Original Financial Statements means the audited consolidated financial statements of the Company for the year ended 31 December 2012.
Initial Filing Date means the date on which the Initial Registration Statement is filed with the SEC.
Additional Filing Deadline means if Cutback Shares are required to be included in any Additional Registration Statement, the later of (i) the date sixty (60) days after the date substantially all of the Registrable Securities registered under the immediately preceding Registration Statement are sold and (ii) the date six (6) months from the Initial Effective Date or the most recent Additional Effective Date, as applicable.
Original Financing Agreement means the development credit agreement for a Social Investment Program Project between the Recipient and the Association, dated April 7, 2003, as amended to the date of this Agreement (Credit No. 3740-BD).
Initial Filing Deadline means the date which is thirty (30) calendar days after the Closing Date.
UCC Filing Authorization Letter means a letter duly executed by each Loan Party authorizing the Collateral Agent to file appropriate financing statements on Form UCC-1 without the signature of such Loan Party in such office or offices as may be necessary or, in the opinion of the Collateral Agent, desirable to perfect the security interests purported to be created by each Security Agreement and each Mortgage.
Initial Financial Statements means (a) the audited annual Consolidated financial statements of Borrower dated as of December 31, 2009, and (b) the unaudited quarterly Consolidated financial statements of Borrower dated as of March 31, 2010.
Filing Statement means this filing statement, together with all appendices attached hereto and including the summary hereof;
Closing Financial Statements has the meaning set forth in Section 6.22.
Complete application means a document prepared in
Governmental Filings means all filings, including franchise and similar tax filings, and the payment of all fees, assessments, interests and penalties associated with such filings with all Governmental Authorities.
10-K Filing Deadline As defined in Section 11.05(a).
Informed Financial Consent means the medical provider advises you of any out-of-pocket costs before your admission. This is called Informed Financial Consent.
HSR Filing means the filing of the Notification and Report Form pursuant to the HSR Act with respect to the transactions contemplated by this Agreement with the Antitrust Division of the United States Department of Justice and the United States Federal Trade Commission.
Filing Statements is defined in Section 5.1.13.
Listing Statement means the listing statement of Purchaser pertaining to the Transaction and in the form prescribed by the CSE;
UCC Financing Statement A financing statement filed, or to be filed, pursuant to the UCC.
Closing Press Release has the meaning set forth in Section 5.4(b).
Annual Financial Statement is defined in Section 10.1(a).
SEC Filings has the meaning set forth in Section 4.6.
Annual Financial Statements has the meaning set forth in Section 3.06.
Filings the filing or recording of (i) the Financing Statements as set forth in Schedule 3, (ii) this Agreement or a notice thereof with respect to Intellectual Property as set forth in Schedule 3, and (iii) any filings after the Closing Date in any other jurisdiction as may be necessary under any Requirement of Law.
Purchaser Financial Statements shall have the meaning specified in Section 4.8.1.
Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.
Pre-Closing Statement has the meaning set forth in Section 2.4(a).
