Original Equity Stake definition

Original Equity Stake means, with respect to any Investor, the number of shares of Common Stock held by such Investor immediately following the Closing (as adjusted for stock splits, reverse stock splits, stock combinations, stock dividends and the like).

Examples of Original Equity Stake in a sentence

  • Clause (B) of the first sentence of this Section 3.6(b)(i) shall cease to bind an Investor when (X) in the case of PMI, Blackstone and Cypress hold, in the aggregate, Equity Securities representing less than 20% of their aggregate Original Equity Stake, (Y) in the case of Blackstone and Cypress, PMI holds Equity Securities representing less than 20% of its Original Equity Stake and (Z) in the case of CIVC, when both clauses (X) and (Y) of this sentence apply.
