Original Charter definition

Original Charter means the Amended and Restated Articles of Incorporation of the Corporation in effect immediately prior to the filing of the Restated Articles.
Original Charter means the amended and restated certificate of incorporation of the Purchaser, as in effect as of the Original Agreement Date.
Original Charter means the Certificate Incorporation of the Corporation in effect immediately prior to the filing of the Restated Certificate.

  • This Agreement replaces and supersedes the Original Charter Agreement, which upon execution of this Agreement shall become null and void and no longer enforceable.
