The Exiting Founder shall have [***] days following a Trigger Event to provide the Company and the other Founding Members with written notice of an Orderly Exit hereunder.
In connection with any Orderly Exit, the Exiting Founder may, but shall not be required to, terminate by written notice to the Company any PBM Services Agreement such Exiting Founder may then have in place with the Company, effective as of the Exit Date, notwithstanding any terms to the contrary that may be set forth therein.
For the avoidance of doubt, notice of an Orderly Exit for a Discretionary Election [***].
