Order and Acceptance definition

Order and Acceptance. No order shall be binding upon Seller until accepted by Seller in writing or upon Seller's performance of such purchase order and shipment of the ordered Product(s). Seller shall have no liability to Buyer with respect to any purchase order which is not accepted. Buyer confirms its acceptance of these Terms and Conditions upon placement of an order for Seller’s Products. Delivery, Shipping, and Acceptance: All Products delivered hereunder will be shipped EXW (Ex-Works) Seller designated warehouse location(s), at which time risk of loss and title will pass to Buyer. Any Products rejected by Buyer may be returned only in accordance with the procedures set forth below. Prices. Prices and quotations are submitted without offer and are subject to change without notice. All prices quoted do not include duties, freight, insurance or taxes which are Buyer's responsibility and shall be added to the invoice. Product Availability. Seller reserves the right to discontinue and withdraw from the marketplace any product or product configuration at any time without any further obligation on the part of Seller.
Order and Acceptance. All orders for Products ("Purchase Orders") submitted by U2U shall be initiated with written purchase orders sent to EBI according to Exhibit B, requesting a shipping date within the term of this Agreement; provided, however, that an order may initially be placed orally or by fax if a confirmational written purchase order is received by EBI within fifteen (15) days after said oral or fax order. No Purchase Order shall be binding upon EBI until accepted by EBI in writing, and EBI shall have no liability to U2U with respect to Purchase Orders that are not accepted. EBI shall use its reasonable best efforts to notify U2U of the acceptance or rejection of a Purchase Order and of the Assigned Shipping Date for accepted Purchase Orders within seven (7) days after receipt of the Purchase Order. No partial shipment of a Purchase Order shall constitute the acceptance of the entire Purchase Order. EBI shall use its reasonable best efforts to deliver the Products by the time specified either in its quotation or in its written acceptance of U2U Purchase Orders.

Examples of Order and Acceptance in a sentence

  • Any notice given to a party under or in connection with this Licence shall be in writing and shall be delivered by hand or email, or by pre-paid first-class post or other next Working Day delivery service at its address set out below: if to the Publisher: Name of recipient Post Email address if to the Institution: as stated in the Subscription Order and Acceptance Form.

  • If Device-as-a-Service is being provided by the Supplier, this section should be completed.] If Acceptance Tests are applicable, as indicated above: the Acceptance Tests are as set out in Schedule 2 to this Purchase Order; and Acceptance will occur on the date the Acceptance Tests have been successfully completed in accordance with the requirements for Acceptance testing as specified in clause 12 and this Purchase Order.

  • For the avoidance of doubt, the term of this Licence will commence upon the date as set out in the Subscription Order and Acceptance Form and will remain in full force and effect until the date of termination as set out in Clause 8.

  • Upon issuance by Inalco of the Acceptance Notice, the Purchase Order and Acceptance Notice shall constitute a contract in accordance with the terms and conditions of this Agreement.

  • By completing the Order and Acceptance Form as part of Licence Subscriptions Manager the Institution accepts the terms of this Agreement and accepts that it must pay to the Publisher the total sum of the Membership Fee for the Membership Period in accordance with the applicable Jisc Collections charging band as set out in the Offer.

  • By completing the Order and Acceptance Form as part of the Jisc Collections Online Ordering Service, the Institution accepts that it must pay to the Publisher, through Jisc Collections, the total sum of the Participation Fee in accordance with the applicable fee as set out below.

  • In the event that the Institution completes the Subscription Order Confirmation and Acceptance Form during a given year, the Institution shall pay the Publisher (via Jisc Collections) that part of the applicable Licence Fee which represents the period covering the date as set out in the Subscription Order and Acceptance Form up to the date where the next 12 months subscription period starts.

  • In the event of a conflict between the terms of a Purchase Order and Acceptance Notice and the terms of this Agreement, the terms of this Agreement shall govern.

  • In the event that the Sub-Licensee completes the Subscription Order Confirmation and Acceptance Form during a given year, the Sub-Licensee shall pay Jisc Collections that part of the applicable Sub-Licence Fee which represents the period covering the date as set out in the Subscription Order and Acceptance Form up to the date where the next 12 months subscription period starts.

  • In the event that the Institution completes the Subscription Order Confirmation and Acceptance Form during a given year, the Institution shall pay Clarivate that part of the applicable Licence Fee which represents the period covering the date as set out in the Subscription Order and Acceptance Form up to the date where the next 12 months subscription period starts.
