Except as set forth in the preceding sentence, any failure or delay by Customer or Optum in the performance of its obligations pursuant to this Agreement shall not be deemed a default of this Agreement or a ground for termination hereunder to the extent such failure or delay is caused by a Force Majeure Event.
Customer hereby grants a non-exclusive, perpetual and irrevocable, transferable and sublicensable, royalty-free, license to Optum and its Affiliates to use the suggestions and feedback.
