Optional Units definition

Optional Units has the meaning ascribed thereto in the first paragraph of this agreement;
Optional Units means, with respect to each OZ Limited Partner, the number of Operating Group A Units set forth opposite such OZ Limited Partner’s name on Schedule A hereto under the “Optional Units” column; provided, however, that if the Underwriters exercise the Underwriter Option in part, but not in full (including in the event the Underwriter Option is exercised more than one time, in which case this proviso shall apply to each such exercise), the term Optional Units shall mean, with respect to each OZ Limited Partner, the number of Operating Group A Units equal to the product of the number of such Units set forth opposite such OZ Limited Partner’s name on Schedule A under the “Optional Units” column multiplied by a fraction, the numerator of which is the number of Optional Shares actually purchased by the Underwriters pursuant to the Underwriter Option and the denominator of which is the aggregate number of Optional Shares subject to the Underwriter Option.
Optional Units. Only if requested by Columbia Pictures, one or more digital discrete multi-track music and effects (M&E) "Optional" units, conforming to the International track format, manufacturing, and recording specifications for International sound masters in effect as of the date of delivery.   • It is understood that the Representative has been authorized, for its own account and the accounts of the several Underwriters, to accept delivery of and receipt for, and make payment of the purchase price for, the Firm Units and any Optional Units the Underwriters have agreed to purchase.

  • The number of Optional Units to be sold to each Underwriter shall be the number which bears the same proportion to the aggregate number of Optional Units being purchased as the number of Firm Units set forth opposite the name of such Underwriter on Schedule A hereto bears to the total number of Firm Units (subject, in each case, to such adjustment as the Representatives may determine to eliminate fractional shares).

  • The Over-Allotment Option may be exercised by the Representatives on behalf of the several Underwriters at any time, and from time to time, on or before the forty-fifth (45th) day following the date of the Prospectus, by written notice to the Company, setting forth the number of Optional Units to be purchased by the Underwriters and the date and time for delivery of and payment for the Optional Units.

  • The Representative, however, shall have the sole discretion to determine the number of Optional Units, if any, to be purchased.

  • No Optional Units shall be sold or delivered unless the Firm Units previously have been, or simultaneously are, sold and delivered.

Related to Optional Units

  • Additional Units means such Units (as defined herein) as are issued in respect of Additional Securities."

  • Option Units means the Common Units that the Partnership will agree to issue upon an exercise of the Over-Allotment Option.

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.
