Option to Subscribe definition

Option to Subscribe means an Option that confers a right to subscribe for new Shares pursuant to the Plan;
Option to Subscribe means an Option which confers a right to subscribe for new Shares pursuant to this Plan;
Option to Subscribe or “OTS” means the non-transferable option to subscribe for Offeror Shares on these Terms and Conditions, granted by SIA in a Letter of Grant in accordance with the Offer, the PCCS Offer and/or a Section 215 Acquisition;

Examples of Option to Subscribe in a sentence

  • To the extent that the Company has procured pursuant to Rule 7.3 that the Trustee transfers Shares to satisfy an Option to Subscribe such Option shall not be treated as an Option to Subscribe for the purposes of this Rule 3.

  • If an Option to Subscribe is exercised the Committee may within 7 days of the date of exercise request the Trustee to transfer sufficient Shares to or at the direction of the Participant to satisfy the Option in full subject to Rule 7.5 which shall apply to such exercise as if it were an Option to Purchase.

  • If the Minority Shareholder decides to exercise the Option to Subscribe, it shall pay for the corresponding shares of the New Company in cash at the time of the subscription of the respective shares, as determined by Collotype but not later than 90 days after the acquisition of the New Company.

  • In the same notice, the Minority Shareholder shall also inform MCC about its decision to exercise or not the Option to Subscribe.

  • If the Minority Shareholder decides not to exercise the Put Option or does not give any notice to MCC within the term set forth herein, it will not have the right to exercise the Option to Subscribe.

  • To the extent that the Committee has procured that the Trustee transfers Shares to satisfy an Option to Subscribe pursuant to Rule 7.4, such Option shall not be treated as an Option to Subscribe for the purposes of this Rule 3 unless such Shares were specifically issued by the Company to the Trustee to enable the Trustee to satisfy the Option to Subscribe.

  • If an Option to Purchase is exercised the Trustee may within 7 days of the date of exercise request the Company to issue sufficient Shares to or at the direction of the Participant to satisfy the Option in full subject to Rule 7.3 which shall apply to such exercise as if it were an Option to Subscribe.

  • The Company has, by resolutions of its board of directors passed on 28 May 2002 and 21 June 2002, determined to create and issue options to subscribe for non-voting ordinary shares in the capital of the Company on the terms and subject to the conditions set out in the Instrument Constituting an Option to Subscribe for Shares in Exali Reinsurance Holdings Limited dated 21 June 2002 (the "ORIGINAL INSTRUMENT").

  • Any Option to Subscribe shall be limited and take effect so that immediately following such grant the aggregate Market Value of Shares subject to all Options to Subscribe as at their respective dates of grant granted after the Listing Date and within the previous year to the Eligible Employee would not exceed his annual Remuneration.

  • For the purposes of this Rule 3.3, Option to Subscribe shall comprise any such option over shares of the Company granted after the Listing Date under this Scheme or any Executive Option Scheme.


More Definitions of Option to Subscribe

Option to Subscribe means an Option which confers a right to subscribe for Shares granted by the Company under the Scheme;

Related to Option to Subscribe

  • Option to Purchase has the meaning set forth in Section 13.1.

  • Option to Build means the option of the New Service Customer to build certain Customer- Funded Upgrades, as set forth in, and subject to the terms of, the Construction Service Agreement.

  • basic subscription privilege means a privilege to subscribe for the number or amount of securities set out in a rights certificate held by the holder of the rights certificate;

  • additional subscription privilege means a privilege, granted to a holder of a right, to subscribe for a security not subscribed for by any holder under a basic subscription privilege;

  • Election to Exercise shall have the meaning attributed thereto in Subsection 2.2(d).

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related 2024-1 Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2024-1 Vehicle for which the related 2024-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related 2024-1 Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • Other Warrants means any other warrants issued by the Company in connection with the transaction with respect to which this Warrant was issued, and any warrant issued upon transfer or partial exercise of or in lieu of this Warrant. The term “Warrant” as used herein shall be deemed to include Other Warrants unless the context clearly requires otherwise.

  • Purchase Option Notice As defined in Section 3.18(e).

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Optioned Shares means Shares subject to an Award granted pursuant to this Plan.

  • Option Units means the Common Units that the Partnership will agree to issue upon an exercise of the Over-Allotment Option.

  • CONCURRENT STOCK APPRECIATION RIGHT or "CONCURRENT RIGHT" means a right granted pursuant to subsection 8(b)(2) of the Plan.

  • Notice of Election to Purchase has the meaning assigned to such term in Section 15.1(b).

  • Unit Shares means the Common Shares comprising part of the Units;

  • Returning Shares means shares subject to outstanding stock awards granted under the Prior Plan and that following the Effective Date: (A) are not issued because such stock award or any portion thereof expires or otherwise terminates without all of the shares covered by such stock award having been issued; (B) are not issued because such stock award or any portion thereof is settled in cash; (C) are forfeited back to or repurchased by the Company because of the failure to meet a contingency or condition required for the vesting of such shares; (D) are withheld or reacquired to satisfy the exercise, strike or purchase price; or (E) are withheld or reacquired to satisfy a tax withholding obligation.

  • Preemptive Right has the meaning set forth in Section 5.1 hereof.

  • Broker Warrants has the meaning ascribed to such term in Section 12 hereof;

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Notice of Purchase means, as the context requires, a Preliminary Notice of Purchase or a Final Notice of Purchase, in each case, substantially in the form attached as Exhibit A to the VRDP Shares Purchase Agreement.

  • Stock Purchase Right means a right to purchase Common Stock pursuant to Section 11 below.

  • Book Entry Only Warrants means Warrants that are to be held only by or on behalf of the Depository;

  • Option Notice has the meaning set forth in Section 5.2(a).
