Option Party definition

Option Party means a Contracting Party which has entered into an Option Transaction with Exchange;
Option Party is defined in Section 2.01(c).
Option Party has the meaning specified in the fourth recital hereof.

Option Party s Default” means the occurrence of a material breach of representation or warranty made herein by a Contracting Party or a failure by the Contracting Party to perform its Obligations under an Option Transaction;
Option Party means the Initial Sub-Lessee in its capacity as party to the Put-Option Agreement;

Related to Option Party

  • Option means a stock option granted pursuant to the Plan.

  • Incentive Option means an option which satisfies the requirements of Code Section 422.

  • ISO means an employee incentive stock option described in Section 422(b) of the Code.

  • Option Holder means a Person or Entity who holds an unexercised and unexpired Option or, where applicable, the Personal Representative of such person.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Shareholder means a person who owns shares in the company and is actively involved in the management of the enterprise or business and exercises control over the enterprise.

  • SAR means a stock appreciation right granted under the Plan.

  • Optionholder means a person to whom an Option is granted pursuant to the Plan or, if applicable, such other person who holds an outstanding Option.

  • SAR Agreement means the agreement between the Company and an Optionee which contains the terms, conditions and restrictions pertaining to his or her SAR.

  • Appreciation Right means a right granted pursuant to Section 5 of this Plan, and shall include both Tandem Appreciation Rights and Free-Standing Appreciation Rights.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Warrantholder has the meaning set forth in Section 2.
