Subject to the satisfaction of the aforesaid condition and upon surrender of this Option or certificates for any Underlying Securities at the office of the Company, the Company shall deliver a new Option or Options or new certificates or certificates for Underlying Securities to and in the name of the assignee or assignees named therein.
Any Option issued pursuant to the provisions ---------------------------- of Section 9, or upon transfer, exchange, division or partial exercise of this Option or combination thereof with another Option or Options, shall set forth each provision set forth in this Option as each such provision is set forth herein, and shall be duly executed on behalf of the Company by its chief executive officer.
Subject to compliance with Section 4(a), as to any transfer which may be involved in such division or combination, the Company shall execute and deliver a new Option or Options in exchange for the Option or Options to be divided or combined in accordance with such notice.
On any such partial exercise, subject to the provisions of Section 2 hereof, the Company at its expense will forthwith issue and deliver to, or upon the order of the Holder, a new Option or Options of like tenor, in the name of the Holder, calling in the aggregate on the face or faces thereof, for the number of shares of Common Stock equal to the number of such shares called for on the face of this Option minus the number of such shares designated by the Holder in the subscription at the end hereof.
This Option at any time prior to the exercise hereof, upon presentation and surrender to the Company, may be exchanged, alone or with other Options of like tenor registered in the name of the Holder, for another Option or other Options of like tenor in the name of such Holder exercisable for the same aggregate number of Shares as the Option or Options surrendered.
We will make these payment under the Annuity Option (or Options) as chosen in the application or as subsequently selected.
The Company shall promptly cancel the surrendered Option and deliver the new Option or Options pursuant to the provisions of this Section.
This Option may be exchanged at the office of the Company by surrender of this Option properly endorsed for one or more new Options of the same aggregate number of Shares as are evidenced by the Option or Options exchanged.
The undersigned further acknowledges that the SSI Option or Options described in Exhibit A hereto constitute all of the options or other rights to purchase SSI Stock that he or she owned immediately prior to the Effective Time.
The term of the Option or Options subject hereto shall be for the number of years from the Grant Date set forth on Schedule I hereto with respect to such Option or such shorter period of time as is described in Section 4.
