Option is. A Nonqualified Stock Option 5. The Vesting Schedule for this Option is: The schedule specified in Paragraph 3 of the Stock Option Agreement, except that no exercise or call will be permitted for a fractional Share.   • The Company shall issue (or cause to be issued) such Shares promptly after the Option is exercised.

  • If the Option is not so exercised within the time specified herein, the Option will terminate, and the Shares covered by such Option will revert to the Plan.

  • If no such beneficiary has been designated by the Participant, then such Option may be exercised by the personal representative of the Participant’s estate or by the person(s) to whom the Option is transferred pursuant to the Participant’s will or in accordance with the laws of descent and distribution.

  • At the time an Option is granted, the Administrator will fix the period within which the Option may be exercised and will determine any conditions that must be satisfied before the Option may be exercised.

  • OPTION 3 [_] The later of age ________ (not to exceed 65) or the ________ (not to exceed 5th) anniversary of the first day of the first Plan Year in which the Participant commenced participation in the Plan.   • Option means a stock option granted pursuant to the Plan.

  • OPTION 1 IDS Telcom certifies that it is the exclusive provider of an end user’s local exchange service. The loop-transport combinations must terminate at IDS Telcom’s collocation arrangement in at least one BellSouth central office. This option does not allow loop-transport combinations to be connected to BellSouth’s tariffed services. Under this option, IDS Telcom is the end user’s only local service provider, and thus is providing more than a significant amount of local exchange service. IDS Telcom can then use the loop-transport combinations that serve the end user to carry any type of traffic, including using them to carry 100 percent interstate access traffic; or

  • Option B has the meaning assigned that term in Section 8.03(e).

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • Option Agreement means a written agreement between the Company and an Optionholder evidencing the terms and conditions of an individual Option grant. Each Option Agreement shall be subject to the terms and conditions of the Plan.

  • Incentive Option means an option which satisfies the requirements of Code Section 422.

  • OPTION 2 [_] An amount equal to the sum of ________% of the portion of such Contributing Participant's Elective Deferral (and/or Nondeductible Employee Contribution, if applicable) which does not exceed ________% of the Contributing Participant's Compensation plus ________% of the portion of such Contributing Participant's Elective Deferral (and/or Nondeductible Employee Contribution, if applicable) which exceeds ________% of the Contributing Participant's Compensation.

  • Nonstatutory Option means a stock option not described in Sections 422(b) or 423(b) of the Code.

  • ISO means an employee incentive stock option described in Section 422(b) of the Code.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Notice of Stock Option Grant means the document so entitled to which this Agreement is attached.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Option Price means the price at which a Share may be purchased by a Participant pursuant to an Option.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Optioned Shares means the Common Stock subject to an Option.

  • Option Contract means a standardised contract the effect of which is that a person acquires the option—

  • Option Award means an Award of an Option pursuant to Section 10 hereof.

  • Option Notice means a notice from the Lessee to the Lessor exercising the option to purchase the Option Premises;

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Director Option means a Nonstatutory Stock Option granted to each Eligible Director pursuant to Section 6.7 without any action by the Board or the Committee.

  • Grant Price means the price established at the time of grant of a SAR pursuant to Article 7, used to determine whether there is any payment due upon exercise of the SAR.
