Option Documents definition

Option Documents means written documents in such form as approved from time to time by the Board, which shall be given to Optionees and shall set forth the terms and conditions of Options granted to Optionees under the Plan.
Option Documents means, with respect to the Executive, each of the following documents to the extent applicable: (a) the Management Stockholders Agreement, dated January 1, 2002, among the Company, Back to School Acquisition LLC and certain Management Investors; (b) the Lincoln Technical Institute Management Stock Option Plan, effective January 1, 2002, and any stock option agreement thereunder; (c) the Management Stock Subscription Agreement, dated January 1, 2002, among the Company and certain Management Investors; (d) any option agreements or other equity awards under the Company’s 2005 Long-Term Incentive Plan; and (e) any stock pledge agreement or promissory note relating to the Executive’s stock options or shares of Company common stock underlying such options.

Examples of Option Documents in a sentence

  • The specific terms and conditions of the Option will be as set forth in the Plan and Option Documents and other applicable documents, which Executive may be required to sign, and the Option shall be subject to all of the terms and conditions of the Plan and the relevant Option Documents.

  • Notwithstanding anything to the contrary in any of the Option Documents, as defined in Appendix A, upon a Change in Control, all outstanding stock options granted by the Company or any of its affiliates to the Executive shall become fully vested and immediately exercisable on the date of the Change in Control.

More Definitions of Option Documents

Option Documents means, with respect to the Executive, each of the following documents to the extent applicable: (a) the Lincoln Technical Institute Management Stock Option Plan, effective January 1, 2002, and any stock option agreement thereunder; and (b) the Lincoln Education Services Corporation 2005 Long Term Incentive Plan, and any stock option agreement thereunder.
Option Documents means the Option Agreement and the Local Master Agreement;
Option Documents means the Option Exercise Notice, section 431 election, Notice of Transaction, in each case in the agreed form;
Option Documents means:
Option Documents shall have the meaning set forth in the Purchase Agreement.
Option Documents means the documents relating to the exercise by the Optionholders of the Options, each in the Agreed Form; “Optionholders” has the meaning given in clause 6;
Option Documents means any and all documents, contracts, agreements and/or letter agreements concerning the grant, issuance, modification or amendment of an Eligible Company Option.
