Option Arrangements definition

Option Arrangements means arrangements in relation to which conditions A and B are met.
Option Arrangements means (a) the option transactions in respect of Target Shares entered into severally between HSBC Bank plc and a third party with a trade date on or about 9 August 2007 and each comprising call options (in respect of which HSBC Bank plc is designated as the Buyer) and a put option (in respect of which HSBC Bank plc is designated as the Seller), such transactions being in each case governed by an ISDA Master Agreement and (b) the option package transaction in respect of Target Shares entered into between Borse Dubai (Cayman) Limited and HSBC Bank plc with a trade date of 9 August 2007 and comprising a call option (in respect of which Borse Dubai (Cayman) Limited is designated as the Buyer) and a put option (in respect of which Borse Dubai (Cayman) Limited is designated as the Seller), such option package transaction being governed by an ISDA Master Agreement dated as of 9 August 2007.
Option Arrangements means the arrangements described in Section 6.7(1) relating to the Corporation’s and the Founding Investor Shareholders’ dealings with the Option Plan, the Options and the Option Holders during the Interim Period.

Examples of Option Arrangements in a sentence

  • As a condition to the issuance of shares of Common Stock of the Company under this Option, arrangements must be made with the Company pursuant to the Plan to satisfy any taxes required to be withheld by the Company under U.S. and Canadian Federal, state or local law as a result of the exercise of this Option prior to the delivery of any certificate or certificates for shares of Common Stock.

  • Option Agreements means the written agreements between the Company and the Executive pursuant to which the Executive holds or is granted options to purchase Common Stock, including, without limitation, agreements evidencing options granted under the Option Plan and agreements governing the terms of "Roll-Over Options" (as defined in the Management Stockholders' Agreement).

  • Compensation Arrangement means any direct or indirect compensatory payment or other financial agreement, arrangement or understanding with any person or entity other than the Corporation, including any agreement, arrangement or understanding with respect to any direct or indirect compensation, reimbursement or indemnification in connection with candidacy, nomination, service or action as a nominee or as a director of the Corporation;

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Arrangement Agreement means the arrangement agreement dated as of April 18, 2019 between the Purchaser and the Company, including the schedules and exhibits thereto, providing for, among other things, the Arrangement, as the same may be amended, supplemented or restated.

  • Unit Price Arrangement means that part of the Contract that prescribes the product of a price per unit of measurement multiplied by a number of units of measurement for performance of the Work to which it relates;
