Operator Fault definition

Operator Fault means any breach, failure of compliance, or nonperformance by the Operator of its obligations hereunder or any negligence or willful misconduct by the Operator under this Agreement (whether or not attributable to any officer, member, agent, employee, representative, contractor, subcontractor of any tier, or independent contractor of Operator other than the District and its Representatives) that materially and adversely affects the District’s performance or the District’s rights or obligations under this Agreement.

Operator Fault means: (a) any breach, failure, nonperformance, or noncompliance by Operator (including the acts or omissions of a Subcontractor) with the terms and provisions of this Agreement or, prior to the Commencement Date, this Agreement for any reason except to the extent such breach, failure, nonperformance, or noncompliance is caused by the occurrence or continuing effect of a Force Majeure or Owner Fault; or (b) any negligence or willful misconduct of any agent, officer, employee, or Subcontractor of Operator which, in the case of (a) or (b) of this definition, (1) prevents or, individually or cumulatively, materially interferes with or materially delays the Operator's or Owner's performance of its obligations; (2) deprives the Owner of any of its material rights; or (3) increases Owner's costs of performing its obligations or reduces its revenues, in any case, under this Agreement.

  • Generator Operator means the Person that Operates the Generating Facility and performs the functions of supplying electric energy and interconnected operations services within the meaning of the NERC Reliability Standards.

  • Generator Forced Outage means an immediate reduction in output or capacity or removal from service, in whole or in part, of a generating unit by reason of an Emergency or threatened Emergency, unanticipated failure, or other cause beyond the control of the owner or operator of the facility, as specified in the relevant portions of the PJM Manuals. A reduction in output or removal from service of a generating unit in response to changes in market conditions shall not constitute a Generator Forced Outage.

  • Generator Owner means the Person that owns the Generating Facility and has registered with the NERC as the Person responsible for complying with all NERC Reliability Standards applicable to the owner of the Generating Facility.

  • Plasma arc incinerator means any enclosed device using a high intensity electrical discharge or arc as a source of heat followed by an afterburner using controlled flame combustion and which is not listed as an industrial furnace.

  • Generator Planned Outage means the scheduled removal from service, in whole or in part, of a generating unit for inspection, maintenance or repair with the approval of the Office of the Interconnection in accordance with the PJM Manuals.
