Operational Transfer definition

Operational Transfer has the meaning given to it in the National Gas Law.

Operational Transfer has the meaning set forth in Section 14.2.1.

Operational Transfer means the transfer and transition, practically and legally, of the day-to-day operations of a Facility for the Primary Intended Use of such Facility to Landlord and/or Landlord’s designee without interruption of the business activities therein, regulatory or otherwise. Landlord may exercise its right to require an Operational Transfer by delivering written notice to Tenant of Landlord’s election to require an Operational Transfer (a “Transition Notice”) at any time.

Examples of Operational Transfer in a sentence

• Developer shall, prior to the Operational Transfer Date, provide Connecting Transmission Owner with all documentation reasonably required and requested by Connecting Transmission Owner to comply with any applicable NERC requirements.

• Connecting Transmission Owner shall, at the Operational Transfer Date (as described in Appendix B), be responsible for compliance with any applicable requirements of the North American Electric Reliability Corporation (“NERC”) with respect to the Stand Alone System Upgrade Facilities.

• Connecting Transmission Owner shall, at the Operational Transfer Date (as described in Appendix B), be responsible for compliance with any applicable requirements of the North American Electric Reliability Corporation (“NERC”) with respect to the Connecting Transmission Owner’s Attachment Facilities.

• In the event of an Early Termination Event as to any Leased Property or dispossession of Tenant with respect to any Leased Property, Landlord may exercise (in its sole discretion) its right to require an Operational Transfer with respect to such Leased Property at any time by delivering a Transition Notice to Tenant.

• Landlord may exercise (in its sole discretion) its right to require an Operational Transfer, with respect to any Leased Property with respect to which this Lease will terminate by its terms as of the Expiration Date applicable to such Leased Property, by delivering a Transition Notice on or prior to ten (10) days prior to such Expiration Date.

• In anticipation of the expiration of this Lease as to any Leased Property, or upon any Early Termination Event as to any Leased Property, or the earlier dispossession of Tenant with respect to any Leased Property, Tenant shall cooperate with Landlord in all respects to facilitate and effectuate an Operational Transfer if Landlord elects to require an Operational Transfer.

• At the Awardee’s own risk, even before signing the Agreement, ANAC may authorize the access to the Airport Complexes, as well as to information of the Airports of a certain Block to start the preparation of the Operational Transfer Plan.

• Operational Transfer Capability (OTC) studies are performed seasonally for the upcoming season for operational purposes using expected and adverse system conditions, but are not regularly performed for planning purposes.

• The Commercial Services Division of the LATC will be initially contracted by the Council and will be expected to provide services according to the Operational Transfer Agreement agreed between the Council and the LATC, with associated requirements regarding reporting, performance and quality assurance.

Operational Transfer means a transfer of the operation and management of any Facility to the exclusion of the direct or indirect operation or management of such Facility by a Master Tenant or Subtenant.

Operational Transfer has the meaning given in clause 34.2(a).
