Operational Role definition

Operational Role means engaging in any business activity as a full-time employee of a company that involves the direct management, supervision or performance of the ongoing development, production, marketing, sales or service of and for technologies, products or services.
Operational Role means a member appointed into an operational role as provided for in clause 41;

Examples of Operational Role in a sentence

  • Further, if during the period between twelve (12) and thirty-six (36) months following the Date of Termination due to Retirement, the Executive commences employment in a Disqualifying Operational Role, then all continued vesting of equity awards pursuant to Section 8(c)(i)(B) shall immediately cease.

  • If, during the twelve (12) month period following the Date of Termination due to Retirement, the Executive commences employment in a Disqualifying Operational Role, then the Executive shall promptly repay to the Company all payments and benefits received pursuant to this Section 8(c).

  • If the Executive seeks to obtain a Disqualifying Operational Role during such three-year period, the Executive may seek a waiver of this provision upon written request to the CEO and the CEO shall reasonably consider such request in good faith.

  • In particular, during the Term, Consultant shall not, as an employee or otherwise, engage in an Operational Role relating to the Business (as defined below) for, on behalf of, or otherwise with any third party.

  • Consultant may perform services for other clients during the Term, provided that Consultant shall not act in an Operational Role (as defined below) with or for another party when such services may adversely affect the Company or its affiliates.

  • If, during the twelve (12)-month period following the Date of Termination due to Retirement, the Executive commences employment in a Disqualifying Operational Role, then the Executive shall promptly repay to the Company all payments and benefits received pursuant to this Section 8(c).

  • Without limiting the generality of the foregoing, except upon the prior written consent of the Company, Consultant will not, during the Term, engage in an Operational Role (whether or not pursued for pecuniary advantage) that might interfere with Consultant’s duties and responsibilities hereunder or create a conflict of interest with the Company or its affiliates.

Related to Operational Role

  • Operational Control means Security monitoring, adjustment of generation and transmission resources, coordinating and approval of changes in transmission status for maintenance, determination of changes in transmission status for reliability, coordination with other Balancing Authority Areas and Reliability Coordinators, voltage reductions and load shedding, except that each legal owner of generation and transmission resources continues to physically operate and maintain its own facilities.
