Operational Guarantees definition
Operational Guarantees means any guarantee, indemnity, surety, comfort letter, letter of credit or similar assurance (other than the Financing Guarantees) given by any member of the Retained Group in respect of the obligations of any of the Companies or in relation to the IWC Business, and which is referred to in Part B of Schedule 11 (Guarantees);
Operational Guarantees has the meaning set forth in Section 7.3.1.
Examples of Operational Guarantees in a sentence
Any further Operational Guarantees required for the conduct of the IWC Business after the date hereof but prior to Completion shall only be entered into with the prior written consent of the Purchasers’ Representative (not to be unreasonably withheld or delayed) and any such further Operational Guarantees shall be treated as if they had been listed in Schedule 11 (Guarantees).
For each of the Operational Guarantees for the FGD Systems, the System shall satisfy the guaranteed value as a minimum.
