Operational Adjustment definition

Operational Adjustment means the net result obtained by adjusting the amount of all"Net Worth" means the amount determined by deducting the book value of Assumed Liabilities and Acquired Assets to reflect differences between the Effective Date and the Closing Date.from the book value of Acquired Assets.
Operational Adjustment shall have the meaning ascribed to such term in Section 2.5.
