Operating Subtenant definition

Operating Subtenant. Each of the Persons listed as an Operating Subtenant in Exhibit D together with any other Person that is an Affiliate of Tenant to whom all or any portion of a Facility is sublet by Tenant pursuant to an Operating Sublease.
Operating Subtenant. Initially, individually or collectively as the context may require, each entity listed on Schedule 2 attached hereto, each of which is and shall continue to be a Subsidiary of Tenant’s Parent, and any other Subsidiary of Tenant’s Parent that subleases any Operating Subleased Property in accordance with Section 41.17.

  • In the event that any Tenant’s Property is owned by an Operating Subtenant, such Operating Subtenant shall be required to transfer such Tenant’s Property to Tenant (or its successor Operating Subtenant) upon the expiration or earlier termination of its Operating Sublease.

More Definitions of Operating Subtenant

Operating Subtenant means each licensed tenant operator of any portion of the Property as of the Closing Date, which shall continue to occupy and operate the applicable portion of the Property pursuant to the Operating Sublease relating to same. The Operating Subtenant of the Clemmons Property shall be Carillon Assisted Living of Xxxxxxxx, LLC, a Delaware limited liability company; Huntersville Property shall be Carillon Assisted Living of Huntersville, LLC, a Delaware limited liability company; Mooresville Property shall be Carillon Assisted Living of Mooresville, LLC , a Delaware limited liability company; North Raleigh Property shall be Carillon Assisted Living of Raleigh – Old Wake Forest Road, LLC, a Delaware limited liability company; and Wake Forest shall be Carillon Assisted Living of Wake Forest, LLC, a Delaware limited liability company.
Operating Subtenant means each licensed tenant operator of any portion of the Property as of the Effective Date, which shall continue to occupy and operate the applicable portion of the Property pursuant to the Operating Sublease relating to same. The Operating Subtenant of the Batesville Property shall be Providence PCC of Batesville, a Mississippi limited liability company; and the Operating Subtenant of the Cleveland Property shall be Cleveland PCH Residential Living, LLC, a Mississippi limited liability company. Operating Subtenant means (i) Landmark CG, as tenant of the CG Real Property and CG Improvements pursuant to the Operating Sublease relating to same; (ii) Landmark Joplin, as tenant of the Joplin Real Property and Joplin Improvements pursuant to the Operating Sublease relating to same; (iii) Landmark Columbia, as tenant of the Columbia Real Property and Columbia Improvements pursuant to the Operating Sublease relating to same; and (iv) Landmark Athens, as tenant of the Athens Real Property and Athens Improvements pursuant to the Operating Sublease relating to same.
Operating Subtenant means each of the five (5) affiliates of New Operator formed for the purpose of acquiring certain assets of Operator pursuant to the OTA, becoming the licensed operator of the respective Facility and being the subtenant under each Operating Sublease.

Related to Operating Subtenant

  • Subtenant means any Person entitled to occupy, use, or possess any Premises under a Sublease.

  • Sublessee means any Person for so long, but only so long, as such Person is in possession of the Airframe and/or any Engine pursuant to the terms of a Sublease which is then in effect pursuant to Section 7(b)(x) of the Lease.

  • Lessee means a person who acquires the right to possession and use of goods under a lease. Unless the context clearly indicates otherwise, the term includes a sublessee.

  • Tenant means any Person leasing, subleasing or otherwise occupying any portion of the Property under a Lease or other occupancy agreement.

  • Sublandlord means the holder of sublandlord’s interest under this Sublease. In the event of any assignment or transfer of the Sublandlord’s interest under this Sublease, which assignment or transfer may occur at any time during the Term in Sublandlord’s sole discretion, Sublandlord shall be and hereby is entirely relieved of all covenants and obligations of Sublandlord hereunder accruing subsequent to the date of the transfer and it shall be deemed and construed, without further agreement between the parties hereto, that any transferee has assumed and shall carry out all covenants and obligations thereafter to be performed by Sublandlord hereunder. Sublandlord may transfer and deliver the then existing Letter of Credit to the transferee of Sublandlord’s interest under this Sublease, and thereupon Sublandlord shall be discharged from any further liability with respect thereto. In addition, Sublandlord shall comply with all of its obligations as “Tenant” under the Master Lease except to the extent that any such obligation is the obligation of Subtenant pursuant to the terms of this Sublease. Notwithstanding any other term or provision of this Sublease, the liability of Subtenant to Sublandlord for any default in Subtenant’s obligations under this Sublease shall be limited to actual, direct damages, and under no circumstances shall Sublandlord, its partners, members, shareholders, directors, agents, officers, employees, contractors, sublessees, successors and/or assigns be entitled to recover from Subtenant (or otherwise be indemnified by Subtenant) for lost revenues, lost profit or other consequential, special or punitive damages arising in connection with this Sublease for any reason, except for any breach by Subtenant under Section 12 of the Master Lease. Notwithstanding any other term or provision of this Sublease, no personal liability shall at any time be asserted or enforceable against Subtenant’s shareholders, directors, officers, or partners on account of any of Subtenant’s obligations or actions under this Sublease.

  • Subleased Premises means approximately -18;961 rentable square feet on the 141h floor of the Building, as more specifically depicted on Exhibit A attached hereto and made a part hereof. The Subleased Premises include all of the Leased Premises identified in the Prime Lease.

  • Operator means the operator of an internet website, online service, online application, or mobile application with actual knowledge that the site, service, or application is used for K–12 school purposes. Any entity that operates an internet website, online service, online application, or mobile application that has entered into a signed, written agreement with an LEA to provide a service to that LEA shall be considered an “operator” for the purposes of this section.

  • Heritage Building means a Building designated under Part IV of the Ontario Heritage Act, R.S.O. 1990, c. O.18, or any successor legislation, or a Building designated under Part V of the Ontario Heritage Act,R.S.O. 1990, c. O.18, or any successor legislation, which has been identified as a significant heritage resource in a conservation district plan and any Building listed in the Markham Register of Property of Cultural Heritage Value of Interest;

  • Master Tenant means any entity approved by HUD now or hereafter leasing the Healthcare Facility pursuant to a Master Lease.
