Operating Subcontract definition
Operating Subcontract means the service contract dated on or about the date hereof between Project Co and the Service Provider by which Project Co shall cause the performance of the Service Period Works;

Unless the Port Authority otherwise agrees in writing, each Operator shall be required by the Manager to agree specifically in its Operating Subcontract to indemnify the City and the Port Authority, and to hold the City and the Port Authority harmless, with respect to any and all occurrences arising as a result of the performance or non-performance by the Operator under the Operator Subcontract.
Such disclosure shall be made in confidence and shall be limited to disclosure necessary for the purposes of the Contract, the Construction Sub-contract or the Operating Sub-contract respectively, or advice sought in relation thereto and/or the financing of the Prison and the Project.
