Operating Overhead means that portion of the costs of production accounting, head office engineering, and office supplies relating to the Assets and the operation thereof, in respect of each production month between the Effective Date and the Closing Date, in an amount equal to per production month (provided for a portion of a production month, the amount shall be prorated based on the actual number of days in such production month before the Closing Date);
