The number of Restricted Stock Units that shall vest pursuant to the Net Operating EPS Goal shall be determined as set forth in Appendix A attached hereto.
The percentage of the Cumulative Operating EPS Percentage that will be paid out, if any, is based on the following table: To the extent the Company’s Cumulative Operating EPS Performance is greater than the Minimum and less that the Target, or greater than the Target and less than the Maximum, the Cumulative Operating EPS Percentage payout will be interpolated between the corresponding Percentage Payout of Cumulative Operating EPS Percentage ranges set forth above.

The Operating EPS at the end of each fiscal year will be compared to the Base EPS, and the percentage change (not annualized percentage change) in Operating EPS for such fiscal year compared to the Base EPS will be determined.
Non-GAAP Common Operating EPS is determined by dividing Non-GAAP Operating Earnings (subject to certain adjustments) by Diluted Common Shares Outstanding.
The 3-year Cumulative Operating EPS Growth will be a 3-year cumulative growth rate measured from a starting Base Operating EPS.
