Opening Amount means an amount equal to the Agreed Percentage of the Stockholders' Equity of Borrower and its Subsidiaries reflected in the pro-forma balance sheet to be delivered by Borrower to the Lenders pursuant to Section 7.1(b). For purposes of the foregoing, the term "Agreed Percentage" means (a) if the Overallotment Option is exercised in full, 80%, (b) if the Overallotment Option is not exercised at all, 75% and (c) if the Overallotment Option is exercised in part (but not in full), the sum of 75% plus, for every $3,000,000 of exercise price, 1/10 of 1% (rounded up or down to the nearest whole percent or, if there is no nearest, up to the next higher whole percent) up to a maximum of 80%.
