Open Window definition

Open Window means a period in which (i) the Company does not have in place any restrictions on the ability of members of the Board to trade in the securities of the Company or (ii) the Company is buying, selling or offering to sell securities of the Company in the public markets.
Open Window means any period determined during which, in the discretion of the Managing Member’s General Counsel, (a) the directors and executive officers of the Managing Member are permitted to trade securities of the Managing Member under the Managing Member’s ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ policy and (b) the Managing Member is not in possession of material non-public information.
Open Window shall have the meaning set forth in Section 9.3(c) hereof.
