Normal Termination means termination of employment or service with the Company and Affiliates:
Outside Termination Date means September 30, 2017 (provided that, if a labor strike occurs or continues at either Airbus S.A.S., The Boeing Company or Embraer S.A. after the Issuance Date and on or prior to September 30, 2017, such date shall be extended by adding thereto the number of days that such strike continued in effect after the Issuance Date, but not more than 60 days and excluding any period of a strike at Airbus S.A.S., The Boeing Company or Embraer S.A. after all aircraft of such manufacturer shall have been financed hereunder).
Company Termination shall have the meaning set forth in Section 2.3.12.
Partial Termination means the termination of a part, but not all, of the work that has not been completed and accepted under a contract.
Automatic Termination shall have the meaning set forth in Section 2.3.2.
Company Termination Fee means an amount equal to $1,000,000.
Event of Termination means and include any one or more of the following: (i) the termination by the Holding Company of Executive's full-time employment hereunder for any reason other than termination governed by Section 5(a) hereof, or for Cause, as defined in Section 7 hereof; (ii) Executive's resignation from the Holding Company's employ, upon, any (A) failure to elect or reelect or to appoint or reappoint Executive as _____________________________, unless consented to by the Executive, (B) a material change in Executive's function, duties, or responsibilities with the Holding Company or its Subsidiaries, which change would cause Executive's position to become one of lesser responsibility, importance, or scope from the position and attributes thereof described in Section 1, above, unless consented to by the Executive, (C) a relocation of Executive's principal place of employment by more than 25 miles from its location at the effective date of this Agreement, unless consented to by the Executive, (D) a material reduction in the benefits and perquisites to the Executive from those being provided as of the effective date of this Agreement, unless consented to by the Executive, (E) a liquidation or dissolution of the Holding Company or the Institution, or (F) breach of this Agreement by the Holding Company. Upon the occurrence of any event described in clauses (A), (B), (C), (D) (E) or (F), above, Executive shall have the right to elect to terminate his employment under this Agreement by resignation upon not less than sixty (60) days prior written notice given within six full calendar months after the event giving rise to said right to elect.
Service Termination Date means the last Day in a month upon which Service shall terminate, as set forth in a Schedule of Service and subject to any renewal thereof.
Initial Termination Date has the meaning set forth in Section 8.2(a).
Event Termination Date See Section 2(e) hereof.
Employment Termination means the effective date of: (i) Executive’s voluntary termination of employment with the Company with Good Reason, or (ii) the termination of Executive’s employment by the Company without Good Cause.
Extended Termination Date has the meaning specified in Section 2.16(c).
Agreement Termination Date is defined in Section 7.4.
Employment Termination Date means, with respect to a Participant, the first day upon which the Participant no longer has an employment or service relationship with the Company or any Related Company.
Accretion Termination Date As defined in the Series Supplement.
Post-Termination Period means the twelve (12) month period beginning on the Termination Date.
Final Termination Date means the last date of the final year in which the Applicant is required to Maintain Viable Presence and as further identified in Section 2.3.E of this Agreement.
Lease Termination Date means the last day of the Lease Term.
Good Reason Termination means a termination of employment or service initiated by the Participant upon or after a Change of Control upon one or more of the following events:
Additional Termination Event has the meaning specified in Section 5(b).
Potential Termination Event means an event which but for the lapse of time or the giving of notice, or both, would constitute a Termination Event.
Termination Period means the period of time beginning with a Change in Control and ending two (2) years following such Change in Control. Notwithstanding anything in this Agreement to the contrary, if (i) Executive’s Employment is Terminated prior to a Change in Control for reasons that would have constituted a Qualifying Termination if they had occurred following a Change in Control; (ii) Executive reasonably demonstrates that such termination (or Good Reason event) was at the request of a Person who had indicated an intention or taken steps reasonably calculated to effect a Change in Control, or was otherwise made in connection with a Change in Control; and (iii) a Change in Control involving such third party or an Affiliate of such third party (or a party competing with such third party to effectuate a Change in Control) does occur, then for purposes of this Agreement, the date immediately prior to the date of such Termination of Employment or event constituting Good Reason shall be treated as a Change in Control. For purposes of determining the timing of payments and benefits to Executive under Section 4, the date of the actual Change in Control shall be treated as Executive’s Date of Termination under Section l(h).
Consultation Termination Event shall have the meaning assigned to such term or an analogous term in the Servicing Agreement.
Optional Termination The termination of the trust created hereunder in connection with the purchase of the Mortgage Loans pursuant to Section 9.01(a) hereof.
Share Termination Settled” in relation to the Transaction means that Share Termination Alternative is applicable to the Transaction.
Without Cause Termination or “Terminated Without Cause” means termination of the Executive’s employment by the Company other than due to death, disability, or Termination for Cause.
