Merchandise arriving at the Stores following the Start Date ("On Order Merchandise"), shall be valued at the lowest ticketed price less the discount then prevailing in the Stores.

Buyer shall assume Seller's obligations with respect to the Goods On Order.
Buyer shall have the right to direct Sellers to divert the delivery destinations of any of the On Order Merchandise to any locations that may be selected by Buyer, and Buyer agrees that such On Order Merchandise shall remain at such location (and not be sold by Sellers) pending the Closing.
The Vendor shall maintain its existing insurance coverage against all Inventory On Order following Closing until such inventory is delivered to the Purchaser.
Following any termination of this Agreement by Seller under Section 8(c), but subject to the terms and conditions of this Agreement, Seller may elect to continue to deliver any previously undelivered On Order Products and to fill previously accepted outstanding and unfilled Purchase Orders for New Order Products, provided under no circumstances shall Seller be obligated to do so.
