The Purchase Price to be paid by Department for Contract Capacity and Energy provided under this Agreement shall consist of an aggregate payment equal to the sum of the Capacity Payment, Variable O&M Payment and Fuel Payment, as such payments are calculated on a monthly basis as provided below and pursuant to Section 2.05(f).
All Payment Adjustments except for the Traffic Volume Adjustment (which is based on a percentage of the O&M Payment exclusive of the Major Rehabilitation Payment) shall be subject to annual indexing for inflation in the manner and at the times set out in Schedule 10 (Index Factor).

In no event shall FOM or the Variable O&M Payment include the cost of any litigation or administrative actions, disputes or challenges with respect to the Facility or this Agreement other than the costs of obtaining and complying with permits for the Facility in the normal course of business which are not subject to any litigation or administrative actions, disputes or challenges.
Annual Actual O&M Payment The Developer shall pay for all reasonable and verifiable O&M Expenses incurred by Connecting Transmission Owner, which expenses shall be billed by Connecting Transmission Owner annually as accumulated during the year for which they were incurred.
