Oldemark means Oldemark LLC, a Delaware limited liability company, and its successors and assigns.

Holdings and the Borrower shall, and cause each Restricted Subsidiary to, keep and maintain, in all material respects, books of record and account in which entries in conformity with Agreement Accounting Principles (or in case of Scioto Insurance Company and Oldemark LLC, in conformity with Vermont’s statutory basis of accounting) shall be made of all dealings and transactions in relation to their respective businesses and activities.
The Loan Parties shall not, and shall not permit any Restricted Subsidiary to, pledge or create any Lien on any asset of or the Stock of Oldemark LLC, other than to the Collateral Agent for the benefit of the Secured Parties pursuant to the Security and Pledge Agreement.
