Offtaker Delivery definition

Offtaker Delivery means the delivery of Produced Gold to an Offtaker or the transfer of the entitlement to or benefit of Produced Gold or to an Offtaker, which for greater certainty shall not include any deliveries of Produced Gold to persons subsequent to the first Offtaker acquiring such Produced Gold.
Offtaker Delivery means the delivery of an Offtaker Parcel to an Offtaker or the transfer of the entitlement or benefit of an Offtaker Parcel to an Offtaker.
Offtaker Delivery means the delivery of Produced Silver or Produced Gold to an Offtaker, which for greater certainty, shall not include any deliveries of Produced Silver or Produced Gold to persons subsequent to the first Offtaker acquiring such Produced Silver or Produced Gold.

  • The requirement to complete the purchase and sale of the Purchased Ounces shall arise in respect of each Offtaker Parcel subject to an Offtaker Delivery, and the Purchaser and all other holders of rights to purchase Refined Silver from the Seller shall have the right to receive a pro rata share of the Reference Silver from such Offtaker Parcel, subject to the Maximum Annual Limit.

  • For example, the amount of Refined Gold in the Offtaker Delivery for which an Offtaker Payment is received by a Seller PMPA Entity during the month of January will give rise to a Delivery Obligation on or before the 15th day of February.

Offtaker Delivery means the delivery of Minerals to an Offtaker.

Offtaker Delivery means the delivery of Reference Gold and/or Reference Silver to an Offtaker which, for greater certainty, shall not include deliveries of Reference Gold and/or Reference Silver to persons subsequent to the first Offtaker acquiring such Reference Gold and/or Reference Silver;
Offtaker Delivery means the delivery or Transfer of Produced Gold or Produced Palladium or title to or benefit of Produced Gold or Produced Palladium, in each case to an Offtaker that occurs either: (i) prior to the Effective Date where an Offtaker Payment is made in respect of such delivery or Transfer on or after the Effective Date, whether such Offtaker Payment relates to all or any portion of the Produced Gold or Produced Palladium contained in such Offtaker Delivery; or (ii) on or after the Effective Date.

  • Purchaser Deliverables has the meaning set forth in Section 2.2(b).

  • Delay Delivery Mortgage Loans The Mortgage Loans for which all or a portion of a related Mortgage File is not delivered to the Trustee or to the Custodian on its behalf on the Closing Date.   • Share Delivery Quantity For any Settlement Date, a number of Shares, as calculated by the Calculation Agent, equal to the Net Share Settlement Amount for such Settlement Date divided by the Settlement Price on the Valuation Date for such Settlement Date. Net Share Settlement Amount: For any Settlement Date, an amount equal to the product of (i) the number of Warrants exercised or deemed exercised on the relevant Exercise Date, (ii) the Strike Price Differential for the relevant Valuation Date and (iii) the Warrant Entitlement.

  • Delivery Point means the point(s) of connection(s) at which energy is delivered into the Grid System i.e. the Interconnection Point.

  • Capacity Transmission Injection Rights means the rights to schedule energy and capacity deliveries at a Point of Interconnection of a Merchant Transmission Facility with the Transmission System. Capacity Transmission Injection Rights may be awarded only to a Merchant D.C. Transmission Facility and/or Controllable A.C. Merchant Transmission Facilities that connects the Transmission System to another control area. Deliveries scheduled using Capacity Transmission Injection Rights have rights similar to those under Firm Point-to-Point Transmission Service or, if coupled with a generating unit external to the PJM Region that satisfies all applicable criteria specified in the PJM Manuals, similar to Capacity Interconnection Rights.

  • Termination Delivery Unit means (a) in the case of a Termination Event, an Event of Default or an Extraordinary Event (other than an Insolvency, Nationalization or Merger Event), one Share or (b) in the case of an Insolvency, Nationalization or Merger Event, a unit consisting of the number or amount of each type of property received by a holder of one Share (without consideration of any requirement to pay cash or other consideration in lieu of fractional amounts of any securities) in such Insolvency, Nationalization or Merger Event. If a Termination Delivery Unit consists of property other than cash or New Shares and Counterparty provides irrevocable written notice to the Calculation Agent on or prior to the Closing Date that it elects to receive cash, New Shares or a combination thereof (in such proportion as Counterparty designates) in lieu of such other property, the Calculation Agent shall replace such property with cash, New Shares or a combination thereof as components of a Termination Delivery Unit in such amounts, as determined by the Calculation Agent in its discretion by commercially reasonable means, as shall have a value equal to the value of the property so replaced. If such Insolvency, Nationalization or Merger Event involves a choice of consideration to be received by holders, such holder shall be deemed to have elected to receive the maximum possible amount of cash.

  • Delivery Points means: (i) for natural gas transported by interstate pipelines, the city gate stations of your Utility, and (ii) for electricity, one or more points at which Company, as your agent, has arranged for the delivery of electricity to a third party (such as your Utility) for your account or at your premises.

  • Notice Delivery Period means the period from and including the Trade Date to and including the date that is 15 Business Days after the later of:

Deliveries scheduled using Energy Transmission Injection Rights have rights similar to those under Non-Firm Point-to-Point Transmission Service.

  • Delivery Year means the Planning Period for which a Capacity Resource is committed pursuant to the auction procedures specified in Tariff, Attachment DD, or pursuant to an FRR Capacity Plan under Reliability Assurance Agreement, Schedule 8.1. Demand Bid:
