The "Offsets; Withholding" clause allows one party to reduce or withhold payments owed to the other party by the amount of any debts, claims, or obligations that the other party owes to them. In practice, this means if Party A owes Party B $1,000, but Party B also owes Party A $200, Party A can pay only $800, offsetting the amounts. Offsets; Withholding.
