Notwithstanding the foregoing, immediately after the Offset Date, the Deferred Payment Amount shall be deemed absolute and unconditional and not subject to any further set-off, defense, counterclaim, rescission, recoupment or adjustment whatsoever (other than, for the avoidance of doubt, any Deferred Payment Amount Reduction with respect to the Final Determination of any then Pending Claim, and any prior Deferred Payment Amount Reduction that has been effected).
