Offline Event definition

Offline Event has the meaning given in clause 11.1.
Offline Event shall occur when any event, through no fault of ▇▇▇▇▇▇▇: (a) causes the System to be nonoperational for a period of twelve (12) or more continuous hours, or (b) prevents ▇▇▇▇▇▇▇ vehicles from being fully fueled prior to the start of ▇▇▇▇▇▇▇ business operations each morning assuming such vehicles were waiting to be fueled at the System for at least eight (8) hours prior to the start of that day’s business operations. In the event of an Offline Event which requires ▇▇▇▇▇▇▇ vehicles to be fueled elsewhere, Titan shall provide ▇▇▇▇▇▇▇ a one to one credit against the Minimum GGE for all CNG purchased from a supplier other than Titan and in addition, Titan agrees to pay or reimburse ▇▇▇▇▇▇▇ the difference in CNG cost between the price per GGE under this Agreement for the applicable month and the actual cost paid by ▇▇▇▇▇▇▇ per GGE to fuel its vehicles at another CNG fuel providers station, including all applicable fees, surcharges and taxes. In the event that there are four (4) or more Offline Events during any rolling twelve (12) month period, beginning with the Commencement Date, ▇▇▇▇▇▇▇ shall have the right to terminate this Agreement with thirty (30) days written notice to Titan.

Examples of Offline Event in a sentence

  • The monthly calculation of the Minimum GGE shall include: (a) GGEs from the System and (b) all purchases of CNG from a supplier other than Titan during an Offline Event.
