Office Systems definition

Office Systems has the meaning set forth in the preamble.
Office Systems or "you") by Pitney Xxxxx Inc. ("Pitney Xxxxx") to its stockholders (the "Distribution"), Office Systems and Pitney Xxxxx of Canada Ltd., a wholly-owned subsidiary of Pitney Xxxxx ("PBC," "we" or "us") hereby enter into this reseller agreement to provide for the purchase of equipment by PBC from Office Systems (the "Reseller Agreement"). This letter agreement together with the term sheet attached hereto as Exhibit A (the "Term Sheet") constitute the Reseller Agreement. The terms set forth in the Term Sheet are hereby incorporated by reference into this Reseller Agreement as if they were set out herein in full. The entering into and purchasing under the Reseller Agreement by the parties herein described and the other transactions contemplated hereby, entered into and consummated in connection therewith are herein referred to as the "Transactions". Subject to the terms and conditions of this Reseller Agreement, we hereby agree with you as follows:
Office Systems or "you") by Xxxxxx Xxxxx Inc. ("Pitney Xxxxx") to its stockholders, Office Systems and Pitney Xxxxx Management Services, Inc., a wholly-owned subsidiary of Pitney Xxxxx ("PBMS," "we" or "us") hereby enter into a reseller agreement to provide for the purchase of equipment by PBMS from Office Systems (the "Reseller Agreement"). This letter agreement together with the term sheet attached hereto as Exhibit A (the "Term Sheet") constitute the Reseller Agreement. The entering into and purchasing under the Reseller Agreement by the parties herein described and the other transactions contemplated hereby, entered into and consummated in connection therewith are herein referred to as the "Transactions". The parties hereby agree to be bound by the covenants and obligations set forth in this Reseller Agreement. No amendment or waiver of any provision of this Reseller Agreement shall be effective unless in writing and signed by the parties hereto and then only in the specific instance and for the specific purpose for which given. This Reseller Agreement shall be governed by, and construed in accordance with, the laws of the State of New York. Each of the parties hereto waives all right to trial by jury in any action, proceeding or counterclaim (whether based upon contract, tort or otherwise) related to or arising out of any of the Transactions or the other transactions contemplated hereby, or the performance by either party of the services contemplated hereby. Please confirm that the foregoing correctly sets forth our agreement by signing and returning to PBMS the duplicate copy of this Reseller Agreement enclosed herewith. (F) "Trade Secret" for purposes of Unit Agreement shall mean information, including, but not limited to, technical or nontechnical data, a formula, a pattern, a compilation, a program, a device, a method, a technique, a drawing, a process, financial data, financial plans, product plans, or a list of actual or potential customers or suppliers that: (i) derives economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from it is disclosure or use, and (ii) is the subject of reasonable efforts by SunTrust or a SunTrust Affiliate to maintain its secrecy.

  • Electric System Upgrades means any Network Upgrades, Distribution Upgrades, or Interconnection Facilities that are determined to be necessary by the CAISO or Participating Transmission Owner, as applicable, to physically and electrically interconnect the Project to the Participating Transmission Owner’s electric system for receipt of Energy at the Point of Interconnection (as defined in the CAISO Tariff) if connecting to the CAISO Grid, or the Interconnection Point, if connecting to a part of the Participating TO’s electric system that is not part of the CAISO Grid.

  • Service(s)(ing) In accordance with Regulation AB, the act of servicing and administering the Mortgage Loans or any other assets of the Trust by an entity that meets the definition of “servicer” set forth in Item 1101 of Regulation AB and is subject to the disclosure requirements set forth in Item 1108 of Regulation AB. For clarification purposes, any uncapitalized occurrence of this term shall have the meaning commonly understood by participants in the commercial mortgage-backed securities market.

  • E-System means any electronic system approved by Agent, including Intralinks® and ClearPar® and any other Internet or extranet-based site, whether such electronic system is owned, operated or hosted by Agent, any of its Related Persons or any other Person, providing for access to data protected by passcodes or other security system.

  • Renewable energy system means a fixture, product, device, or interacting group of fixtures, products, or devices on the customer's side of the meter that use 1 or more renewable energy resources to generate electricity. Renewable energy system includes a biomass stove but does not include an incinerator or digester.

  • Generation Operations Center means the location of Buyer’s real-time operations personnel.

  • Drainage system means one or more artificial ditches, tile drains or similar devices which collect surface runoff or groundwater and convey it to a point of discharge.

  • Technical Services means all services that are necessary to carry out individual, scattered site activities including but not limited to: (1) conducting initial inspections, (2) work write-up or project specification development, (3) cost estimate preparation, (4) construction supervision associated with activities that do not require an architect or engineer, (5) lead hazard reduction or lead abatement need determination and oversight, (6) lead hazard reduction or abatement carrying costs, (7) temporary relocation coordination, (8) financing costs such as security agreement preparation and recording or filing fees, (9) processing of individual applications for assistance, (10) income eligibility determination and verification, (11) value determination (new construction) or after rehabilitation value determination (existing structures), and (12) project-specific environmental clearance processes.

  • Support Services the support services, as described in the Support Services Description, that We provide to You in respect of the Cloud Service.

  • Utility system means a water system, solid waste

  • Local Utility Services XOOM is an independent retail marketer of natural gas & electricity and is not affiliated with your local utility. Your local utility will continue to deliver your gas, read your meter, send your bill, and make necessary repairs. Your local utility will also respond to emergencies and provide other basic utility services as required. XOOM is not an agent of your local utility and your utility will not be liable for any of XOOM’s acts, omissions, or representations. Price: Your rate for gas purchases will be a fixed price of $0.4390 per therm, plus taxes and fees, if applicable, and a monthly administrative fee of $2.99. You will continue to be responsible for all charges assessed by your local utility for all services it provides, including any other fees or taxes specifically associated with services it continues to provide during the term of this Agreement, including transportation charges payable for Core Aggregation Service.
